Form a Colorado business online ›Business law compliance.
State, local, and federal rules, untangled.
Every company eventually encounters legal matters that require outside help. Is your company meeting its immediate obligations under state, local, and federal laws and regulations? State and federal employment laws overlap and create a confusing mess for business owners. Questions you might encounter as you start a business include:
- Should you hire someone as a contractor or an employee?
- Do you properly own the work product created by your employees and contractors?
- What are the implications of terminating an employee for cause or without cause?
- Can you bind employees or contractors with a non-compete agreement, and what conditions are acceptable under Colorado law?
- How do you prepare an adequate release of claims under Colorado law for an employee or contractor?
- How do you terminate a contract with a fixed term early?
- Are you making claims about your product or service that might qualify as a deceptive trade practice or unfair competition under federal or state law?
Employees and policies.
Clear policies prevent costly disputes.
Make sure your business follows best practices to avoid fines and other penalties. Are you experiencing human resources issues with certain employees that you want to resolve and prevent in the future? Do you need an improved employee handbook that complies with Colorado law, so your employees understand your company’s practices and policies?
Our experienced Colorado business law team can help you organize and develop these policies and processes for a fraction of the annual cost of hiring a dedicated human resources professional or a large corporate law firm.
Contracts and NDAs.
Protect your ideas before you share them.
Before you pitch investors, hire a developer, or show a prototype to a manufacturer, put a non-disclosure agreement in place. We draft mutual and one-way NDAs fitted to the deal, and we review NDAs the other side asks you to sign so you know what you are agreeing to.

If my business is sued, can they take my personal property?
Forming a business and using it properly establishes a layer of separation between your personal property and your company’s assets and liabilities. As long as you do not commingle business and personal property, and unless you intentionally commit illegal acts or fraud or engage in certain other wrongful actions, your personal assets will likely be protected if your business is sued, even if you are also sued individually.
Does my business need an employee handbook?
An employee handbook is not required for U.S. businesses, but it is recommended as a best practice to avoid ambiguities and misunderstandings that can lead to disputes and possible liability.
Why is Delaware a preferred state to start a business in?
Business experts consider Delaware one of the most business-friendly jurisdictions in the United States. Advantages of incorporating in Delaware include:
- Well-defined, clear business laws.
- A lower franchise tax on small businesses.
- No state tax on capital stock or assets.
- No state sales tax.
- A specialized business court, the Court of Chancery, which helps reduce litigation costs and time.
- No residency requirement for shareholders, directors, and officers of a corporation, or for members or managers of an LLC.
I live outside of the country. Can I start a US business?
In most cases, yes. However, more specific processes may be required to get your business an EIN and open a bank account on its behalf.
Can I be my own company’s agent?
Yes. But do you want to? Your address will appear in a publicly accessible state database that marketers mine constantly. For an annual flat fee, our law firm can serve as the registered agent for service of process for your Colorado company. Our state compliance team will act as your agent and notify you of potential lawsuits and subpoenas.
I have a d/b/a but no company. Am I protected?
A d/b/a registers that you are “doing business as” a name, but it does not create a business entity. A d/b/a alone may not even protect your brand name. For the strongest limits on liability, the best practice is to form a company and establish that layer of protection.
Do I need to file an annual report with the State about my company?
Yes. The State requires companies to file periodic reports, and late filings come with additional fees. We can help you stay in compliance and prepare these filings for your company for a straightforward flat fee, in addition to the required state fees.
What does limited liability mean?
Limited liability is a legal structure in which an owner’s or investor’s potential loss is limited to the amount invested in the company, such as a partnership or limited liability company (LLC). The personal assets of partners, investors, and owners generally are not at risk if the company becomes insolvent or bankrupt.
